N Chandrasekaran is set to step down as chairman of Tata Sons, marking a major leadership change at the top of the Tata Group after nearly a decade at the helm.

According to a report by The Economic Times, Chandrasekaran will complete his current term but has decided not to seek another term as chairman. His decision comes just days before the Tata Sons annual general meeting scheduled for August 18, where shareholders were expected to consider his continuation as a director.

The development could trigger a significant transition within Tata Sons, the principal holding company of the Tata Group.

Chandrasekaran to complete current term

Chandrasekaran is not leaving the company immediately. He is expected to remain in the position until the completion of his existing term, but his decision against reappointment has raised questions about who could eventually take charge of Tata Sons.

The leadership development comes against the backdrop of differences between Tata Sons and Tata Trusts over several important matters, including governance, board representation and long-term business strategy.

One of the issues reportedly involved the relationship between Tata Sons and the Shapoorji Pallonji Group, a minority shareholder in Tata Sons.

Differences with Tata Trusts

The relationship between Tata Sons and Tata Trusts has reportedly come under strain over issues such as the company’s debt levels, the possibility of listing Tata Sons on the stock market and the resolution of the Shapoorji Pallonji Group’s stake.

Tata Trusts Chairman Noel Tata had reportedly raised concerns over some of these matters. The decision on Chandrasekaran’s reappointment had also been delayed amid the discussions.

Chandrasekaran had reportedly favoured postponing the decision in an effort to maintain consensus between the two sides.

Chandrasekaran’s long journey with Tata Group

Chandrasekaran’s association with the Tata Group stretches back to 1987, when he joined the organisation. He went on to become CEO of Tata Consultancy Services (TCS) in 2009 and played a key role in the company’s expansion.

In 2017, he was appointed chairman of Tata Sons, becoming the first person from outside the Tata family’s founder lineage to occupy the top position.

During his tenure, the conglomerate expanded aggressively into emerging sectors. Tata Group increased its presence in electric vehicles, semiconductors and aviation, while also strengthening several of its existing businesses.

His tenure, however, also coincided with major strategic and governance challenges as the group navigated regulatory issues, restructuring and complex shareholder matters.

What happens next?

Chandrasekaran’s decision leaves Tata Sons facing an important leadership transition. With his current term nearing its end, attention will now turn to the succession process and whether Tata Trusts and Tata Sons can reach consensus on the group’s next chairman.

The August 18 AGM is therefore likely to attract considerable attention as the Tata Group prepares for a new chapter at its holding company.
